I have been waiting for a sign that Talbot’s run has run its course and it seems like today is a good day to open a red thumb given the DJIA is up 2% and TLB down 3%. The company has spiked nearly 400% in the past year and is ripe, once again, for a sizable correction. From a fundamental perspective, I don’t get their current valuation at all.
In December 2009, Talbot’s announced a merger with BPW Acquisition Corporation. A portion of the announcement that caught my eye,
“Assuming no BPW shareholders exercise their rights to convert their shares of BPW common stock into cash equal to their pro rata share of the BPW trust account, after giving effect to the transaction, pre-merger Talbots stockholders (other than Aeon) will own between approximately 30.9% and 39.6% of the Talbots common stock. Pre-merger BPW stockholders will own between approximately 60.4% and 69.1% of the Talbots common stock, depending on the exchange ratio.”
They are pulling the rug out from under the existing shareholders… so about 65% of the company is sold for $350MM so they can pay down their ridiculous debt load? The BPW shareholders are getting a heck of a good deal. Read on :
“BPW common shares to be exchanged for the equivalent of $11.25 per BPW share in Talbots common shares through a floating exchange ratio of 0.9000 to 1.3235 Talbots share per BPW share.”
Let’s assume that they receive the average of the two extremes, or 1.11 shares per share of BPW stock. That’s 45.8MM more shares of TLB issued to BPW holders. At today’s price, that puts their valuation at $485MM while laying out $350MM in cash, a 38.5% premium. Even at the low end (.9 shares per 1 shr BPW), BPW shareholders are cleaning up – they get $392MM for laying out $350MM in cash. That’s a 12% premium for just showing up.
If we valued the company based on the deal given to BPW, we could assume that once Aeon has gone away as a shareholder, approx. 65% of the firm is owned by DBW (see Dec 2009 announcement). That would seem to indicate 46MM shares will be held by DBW and 25MM shares held by other shareholders for a grand total of 71MM shares. Assuming the $350MM values 65% of the firm, the full firm’s value is approx. $540MM. That gives me a valuation of closer to $7.50 per share, significantly lower than the current $10.50 price. I am betting the stock is going to retrace short term to the value that DBW put on the firm. I am not placing any real money on this bet and please do your own research before investing.

I recently read that they have not made a profit in the last 3 years, yet the stock has been soaring.
